Terms of Service

Please read these Terms of Service carefully before engaging Authentika Studio for any services. By enquiring about, purchasing, or using our services, you agree to be bound by these terms.

1. About us

Authentika Studio (“we”, “us”, “our”) is a sole-trader creative marketing business operated by Tadas Kirtiklis, based in Norwich, Norfolk, United Kingdom. We provide services including website design and development, content creation, photography, search engine optimisation, and social media management.

2. Definitions

  • “Client” means the individual or business purchasing our services.
  • “Services” means any creative, digital, or marketing services provided by Authentika Studio.
  • “Deliverables” means the tangible outputs produced as part of the Services (e.g. website files, photographs, written content, video files).
  • “Project” means the specific scope of work agreed in a written proposal or contract.

3. Engagement and proposals

All engagements begin with a written proposal or statement of work. A project is formally accepted when both parties have agreed in writing (including by email) to the scope, fees, and timeline. We reserve the right to decline any project at our sole discretion.

4. Fees and payment

  • Fees are quoted in British Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated.
  • A deposit of up to 50% of the agreed project fee may be required before work commences, unless otherwise agreed in writing.
  • The remaining balance is due upon project completion or as specified in the project proposal.
  • Invoices are payable within 14 calendar days of issue unless otherwise agreed.
  • Late payments may incur interest at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  • All fees are non-refundable once work has commenced, except as stated in section 9 (Cancellation).

5. Client responsibilities

To enable us to deliver the Services, the Client agrees to:

  • provide all required content, materials, assets, and access in a timely manner;
  • review and provide feedback within the agreed timescales;
  • ensure that any materials provided to us do not infringe any third-party intellectual property rights, are not defamatory, and comply with applicable law; and
  • designate a single point of contact with authority to give approvals and sign off on work.

Delays caused by the Client may result in revised timelines and may incur additional fees.

6. Intellectual property

Upon receipt of full payment, the Client is granted a non-exclusive, perpetual licence to use the final Deliverables for their business purposes. Full assignment of copyright in bespoke Deliverables will transfer to the Client upon full payment unless otherwise agreed in writing.

We retain the right to display completed work in our portfolio and use it for promotional purposes, unless the Client requests otherwise in writing prior to project commencement.

Any third-party assets, fonts, stock imagery, or software incorporated into Deliverables remain subject to their respective licences. We will inform the Client of any ongoing licence obligations.

Until full payment is received, all work product remains the intellectual property of Authentika Studio.

7. Revisions

Each project includes the number of revision rounds specified in the project proposal. Additional revisions beyond the agreed scope may be charged at our standard hourly rate. Revision requests must be submitted in writing within 7 days of delivery of each draft.

8. Timelines

Estimated timelines are provided in good faith. We will make reasonable efforts to meet agreed deadlines. We are not liable for delays caused by the Client, third parties, or circumstances beyond our reasonable control (including illness, technical failures, or force majeure events).

9. Cancellation

  • The Client may cancel a project at any time in writing. Fees for work already completed and any reasonable costs incurred are non-refundable.
  • If we cancel a project due to circumstances within our control, we will refund any fees paid for work not yet commenced.
  • We reserve the right to suspend or terminate services if the Client breaches these Terms or fails to make payment after a written reminder.

10. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This obligation does not apply to information that is already publicly known, required to be disclosed by law, or independently developed without reference to confidential information.

11. Limitation of liability

To the fullest extent permitted by law, our total liability to the Client in connection with the Services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

We are not liable for any indirect, consequential, or special loss, including but not limited to loss of profits, loss of data, loss of business, or reputational damage, arising from or in connection with the Services.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable UK law.

12. Warranties

We warrant that the Services will be performed with reasonable skill and care in accordance with industry standards. We do not guarantee specific outcomes such as search engine rankings, social media follower growth, or sales increases, as these are influenced by many factors outside our control.

13. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We encourage Clients to contact us in the first instance to resolve any dispute informally before pursuing formal legal action.

14. Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of our services after an update constitutes acceptance of the revised Terms.
